OlyAdmit: Your AI College Counselor

1. Scope and Roles

These Terms of Service govern the use of the OlyAdmit platform by educational professionals. By accessing the platform, you agree to these terms based on your designated role. All roles are bound by these core terms, with specific provisions applying based on your classification:

School Administrators: Institutional leaders who manage and authorize platform access for their school's counseling staff.
School Counselors: Advising professionals operating under an institutional subscription and managed by a School Administrator.
Independent Counselors: Private educational consultants operating under their own individual subscriptions.

2. Eligibility and Representations

By creating an account, you represent and warrant that:

You are a legal adult (18 years of age or older).
You are a qualified educational professional authorized to access and review student educational data.
You are acting strictly in your professional capacity while using the platform.

3. School Administrator Provisions

Users designated as School Administrators hold specific institutional responsibilities. If you are a School Administrator, you represent and agree that:

You possess the legal and institutional authority to manage counselor registrations on behalf of your school.
Every email address you add to the platform's allowlist belongs to a currently authorized staff member at your institution.
You are solely responsible for keeping the allowlist current, which includes adding new staff and immediately removing departed staff.
You hold the authority to suspend and reactivate counselor accounts within your institution.
You acknowledge that suspending a counselor immediately revokes that counselor's access to the platform and any student data shared with them through the platform. The student's own account, application history, essays, and all other data remain active and under the student's control; the student may revoke or replace the counselor's access at any time.
You may not suspend your own administrator account.

4. Student Data Access and Obligations

Counselors are granted access to student data—including data belonging to minors aged 13-17—strictly for legitimate educational advising purposes. Because processing minor data carries heightened legal and ethical obligations, you agree to the following absolute restrictions:

You must not download, export, copy, screenshot, or store student data outside of the OlyAdmit platform.
You must not share, forward, or disclose student data to any unauthorized third parties.
You acknowledge that the student retains unilateral control over their data and may revoke your access at any time.

5. Access Tiers

Counselor visibility into student data is governed by a Three-Tier Access Model. Tiers are assigned by the platform or your School Administrator and can be adjusted. Access tiers strictly control what data is visible to you; they do not alter or delete the underlying student records.

6. Essay Commenting and Intellectual Property

Within your authorized access tier, you may view and comment on student essays. All comments you generate are visible to the student for as long as the student's account is active and are retained in accordance with our data retention policies.

By submitting comments, you grant OlyAdmit a limited, non-exclusive, royalty-free license to display, store, and permanently anonymize this content. If your counselor account is terminated or deleted, your comments are retained but will be permanently anonymized, stripping all metadata that links the feedback to your identity.

7. Acceptable Use

While using OlyAdmit, you strictly agree to abstain from:

Harassing, bullying, or inappropriately interacting with students.
Soliciting students for outside paid services or external consulting off-platform.
Misrepresenting your credentials, professional affiliations, or identity.
Sharing your account credentials or allowlisting unauthorized users.
Circumventing access controls, subscription requirements, or security measures.

8. Subscriptions, Payments, and Invite Codes

School Counselors: Your access is managed at the institutional level. An active institutional subscription is required. Contact your School Administrator for activation or renewal issues.

Independent Counselors:

Registration requires a valid, platform-issued invite code. Invite codes are non-transferable and may be revoked by OlyAdmit at any time.
You are provided a 14-day free trial with full platform access. Any student connections established during the trial carry over to your paid subscription.
If you do not initiate a paid subscription after your trial expires, your ability to view new or updated student data and to communicate with connected students through the platform will pause. Your existing counselor profile and past essay comments are not deleted at that point. If your counselor account remains inactive and unsubscribed for 180 days following trial expiration, OlyAdmit may delete your counselor profile in accordance with our data retention policies. Deletion of a counselor profile does not delete any student account, application history, essays, or other student-owned data; students may continue using the platform independently or connect a different counselor at any time.

Stripe Disclosure:

Payment processing for Independent Counselors is handled exclusively by Stripe. Stripe acts as an independent Data Controller for all payment card data under PCI DSS standards. OlyAdmit does not process or store your credit card information. Your payment data is governed by Stripe's Terms of Service and Privacy Policy.

9. Account Suspension and Termination

OlyAdmit reserves the right to suspend or terminate any counselor account for violations of these Terms. School Administrators may also suspend counselors within their purview.

Effect of Suspension/Termination: A suspended or terminated counselor's access to the platform and any student data shared through it is immediately revoked. The student's own account and all associated data remain active and under the student's control; the student may continue independently or connect a different counselor at any time.

Data Lifecycle: Upon permanent account deletion, your professional profile is destroyed, your essay comments are permanently anonymized, and (if you are an Administrator) your allowlist entries are preserved solely for institutional audit continuity. Student accounts, application history, essays, and all other student-owned data are not deleted when a counselor account is deleted.

10. Limitation of Liability and Indemnification

Limitation of Liability: OlyAdmit is an educational software tool, not a substitute for professional college counseling judgment. We do not guarantee admission to any institution or receipt of any scholarship. To the maximum extent permitted by law, OlyAdmit excludes all liability for indirect, incidental, consequential, special, or punitive damages. In no event shall OlyAdmit's total liability arising out of or related to these Terms exceed the total fees paid by you (or, if applicable, your institution on your behalf) to OlyAdmit in the twelve (12) months preceding the claim.

Indemnification: You agree to indemnify, defend, and hold harmless OlyAdmit, its affiliates, and its officers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your misuse of the platform, your violation of these Terms, or your unauthorized access, handling, or disclosure of student data.

11. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class Action Waiver: You and OlyAdmit agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Hearings & Fees: Arbitrations may be conducted via remote hearing. OlyAdmit will cover arbitration filing fees for claims under $10,000 unless the arbitrator deems the claim frivolous.

Opt-Out & Forum Selection: You may opt out of this arbitration agreement by sending written notice to OlyAdmit within 30 days of registering your account. If you opt out, or if the arbitration agreement is found unenforceable, any disputes shall be litigated exclusively in the state or federal courts located in Illinois.

12. General Provisions

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without OlyAdmit's prior written consent. OlyAdmit may freely assign or transfer these Terms without restriction.

Survival: Sections 4 (Student Data Access and Obligations), 6 (Essay Commenting and Intellectual Property), 10 (Limitation of Liability and Indemnification), 11 (Dispute Resolution), and 12 (General Provisions) shall survive any termination or expiration of these Terms.

Waiver & Entire Agreement: The failure of OlyAdmit to enforce any right or provision of these Terms will not constitute a waiver of future enforcement. These Terms, read in conjunction with the primary Privacy Policy and the Privacy Policy Addendum, constitute the entire agreement between you and OlyAdmit.

Modifications and Re-Consent: OlyAdmit may update these Terms from time to time. We will provide at least 30 days' advance notice of any material changes. Material updates will re-trigger the platform's consent wall, requiring your affirmative acceptance of the updated Terms before you can continue accessing the platform and student data.
